⚖️ کمپنی کا ریکوری دعویٰ، مگر بورڈ قرارداد ثابت نہ کرسکی

📌 مقدمے کا پس منظر
زلٹیک (پرائیویٹ) لمیٹڈ پاکستان نے اپنے سابق ملازم عارف علی حیدر کے خلاف 32 ملین روپے سے زائد کی رقم کی وصولی کے لیے آرڈر 37 ضابطہ دیوانی کے تحت دعویٰ دائر کیا۔ کمپنی کا مؤقف تھا کہ سابق ملازم نے کمپنی کی رقم میں خردبرد کی اور اپنی ذمہ داری کے اعتراف میں چیکس جاری کیے، جو بے محل ہوگئے۔
⚖️ ٹرائل کورٹ کا فیصلہ
ٹرائل کورٹ نے کمپنی کا دعویٰ خارج کردیا کیونکہ کمپنی یہ ثابت نہ کرسکی کہ مقدمہ دائر کرنے والے شخص کو کمپنی کی طرف سے مقدمہ دائر کرنے کا باقاعدہ اختیار حاصل تھا۔
🏛️ ہائی کورٹ کا فیصلہ
کمپنی نے ٹرائل کورٹ کے فیصلے کے خلاف اپیل دائر کی۔ سندھ ہائی کورٹ نے قرار دیا کہ کمپنی کی طرف سے مقدمہ دائر کرنے والے شخص کا مجاز ہونا ثابت کرنا ضروری تھا۔
کمپنی کے لیے بورڈ کی قرارداد یا کمپنی کے دستورِ اساس پیش کرکے یہ ثابت کرنا ضروری تھا کہ متعلقہ شخص کو مقدمہ دائر کرنے اور اس کی پیروی کرنے کا اختیار دیا گیا تھا۔
🔑 اہم قانونی نکتہ
ہائی کورٹ نے واضح کیا کہ اگر مقدمہ دائر کرتے وقت بورڈ کی قرارداد موجود نہ ہو تو مناسب حالات میں اس کمی کو دورانِ مقدمہ بعد ازاں منظوری کے ذریعے دور کیا جاسکتا ہے۔ تاہم اس کے لیے کمپنی کو اپنا اختیار باقاعدہ طور پر ثابت کرنا ہوگا۔
اس مقدمے میں کمپنی نے نہ ٹرائل کے دوران اور نہ اضافی شہادت کے ذریعے بورڈ کی قرارداد یا دستورِ اساس پیش کیا۔ لہٰذا وہ اپنے نمائندے کا قانونی اختیار ثابت کرنے میں ناکام رہی۔
📜 ثبوت کا بوجھ
عدالت نے قرار دیا کہ قانونِ شہادت 1984 کے آرٹیکلز 117 اور 122 کے تحت بورڈ کی قرارداد کے وجود اور مقدمہ دائر کرنے کے اختیار کو ثابت کرنے کا بوجھ کمپنی پر تھا، لیکن کمپنی یہ بوجھ پورا نہ کرسکی۔
مزید یہ کہ آرٹیکل 129(گ) کے تحت بورڈ کی قرارداد پیش نہ کرنے پر منفی نتیجہ بھی اخذ کیا جاسکتا تھا۔
✅ نتیجہ
چونکہ کمپنی اپنے نمائندے کا قانونی اختیار ثابت نہ کرسکی، اس لیے اس کا دعویٰ طریقۂ کار کے اعتبار سے ناقص قرار پایا۔ سندھ ہائی کورٹ نے ٹرائل کورٹ کا فیصلہ برقرار رکھتے ہوئے کمپنی کی اپیل خارج کردی۔
⭐ منفرد قانونی اصول
اس فیصلے کا اہم پہلو یہ ہے کہ عدالت نے ریکوری کے اصل دعوے سے پہلے کمپنی کے مقدمہ دائر کرنے کے اختیار کو بنیادی اہمیت دی۔ کمپنی رقم کی خردبرد اور چیکس کا دعویٰ کرنے کے باوجود صرف اس لیے کامیاب نہ ہوسکی کہ وہ یہ ثابت نہ کرسکی کہ مقدمہ دائر کرنے والا شخص کمپنی کی طرف سے ایسا کرنے کا مجاز تھا۔

---O.XXIX, R.1, 0.XXXVII, R.1 & S.96---Qanun-e-Shahadat (10 of 1984), Arts. 117, 122 & 129(g)-Company litigation-Institution of suit---Authorisation by company---Curable defect---Board Resolution absent at it at time of filing---Subsequent ratification during trial/additional evidence---Formal defect in proof of authority---Burden to prove valid authorisation---In essence, the appellant company filed a recovery suit against its former employee alleging embezzlement of over Rs. 32 million and relying on dishonoured cheques issued in acknowledgement of liability--The Trial Court dismissed the suit primarily on the ground that the company had not properly established authorisation for institution of the suit through a valid Board Resolution-In the present appeal before the High Court, the question arose "whether such defect in authorisation was fatal or capable of subsequent ratification?"-Held: Pleadings and appeal had to be signed and verified by duly authorised persons, but no such document was presented before either the Trial Court or the Appellate Court, rendering the proceedings legally defective---Production of the Articles of Association and Board Resolution could be ratified during trial or through additional evidence, particularly where the doctrine of indoor management applied-While the appellant's case might have fallen within the scope of this doctrine, the benefit of ratification was not availed, as neither the Articles of Association nor the Board Resolution was produced during trial or through additional evidence---Such omission attracted an adverse inference under Art. 129(g) of the Qanun-e-Shahadat, 1984 that there was inconsistency amongst the Board of Directors regarding institution of the suit---Board Resolution suit---Board Resolution had to be filed either at the time of institution of itution of the suit or proved during trial-Appellant had to prove, under Arts. 117 & 122 of the Qanun-e-Shahadat, 1984, the existence of the Board Resolution, which burden was not discharged due to failure to produce or prove the same during evidence, rendering the suit procedurally defective and legally untenable-No ground was made out for interference in the impugned judgment---Appeal was dismissed, in circumstances.
